Nvidia Corp (NASDAQ:NVDA, XETRA:NVD) is making its biggest move yet beyond chips, agreeing to acquire open artificial intelligence platform Hugging Face for US$12.93 billion as it seeks to strengthen its position across the increasingly valuable AI software and developer ecosystem.
The deal gives the semiconductor giant direct access to one of the most important distribution hubs for open AI models, used by more than 18 million developers, researchers and creators and more than 200,000 companies worldwide.
Hugging Face hosts more than 3 million AI models, 500,000 datasets and around 1 million applications, putting Nvidia at the centre of an ecosystem where developers discover, customise, test and deploy artificial intelligence.
The transaction would also comfortably eclipse Nvidia’s US$6.9 billion acquisition of networking specialist Mellanox in 2020, making Hugging Face its largest takeover to date.
Nvidia shares have rallied almost 5% the past week to US$228.45 as steady news flow keeps the indices active.
From AI chips to AI infrastructure
The strategic logic goes well beyond simply adding another software business.
Nvidia already dominates the market for the advanced graphics processing units used to train and run large AI models. Hugging Face potentially extends that influence further up the technology stack, into the layer where developers choose models, datasets and software tools.
That could become increasingly important as Nvidia’s biggest customers — including major cloud and technology companies — invest heavily in designing their own AI accelerators in an effort to reduce their dependence on Nvidia hardware. Reuters said the acquisition represented a bet that wider adoption of open models would continue generating demand for computing infrastructure.
The company has also been increasing its investment in open-weight models through its Nemotron family and other developer tools.
In effect, Nvidia is attempting to ensure that even if the AI industry becomes less dependent on any single model developer, much of the ecosystem remains connected to infrastructure and software in which Nvidia plays a central role.
Hugging Face to remain open
One of the biggest questions around the acquisition is whether Hugging Face can remain neutral under the ownership of the world’s dominant AI chipmaker.
Nvidia chief executive Jensen Huang moved quickly to address those concerns, saying Hugging Face would remain an open platform supporting different models, frameworks, cloud providers and computing architectures.
Crucially, Nvidia said developers would not need to use Nvidia hardware to build or deploy models through Hugging Face.
That commitment matters because Hugging Face has become something close to the GitHub of open AI, serving as infrastructure not only for Nvidia customers but also developers using competing chips, clouds and models.
The openness of the platform is therefore likely to become a central issue as the transaction moves through regulatory review.
